TERMS AND CONDITIONS (TERMS OF SALES - TOS)

The Services, provided by Ladipo E-hub is provided to you (or "User") under the terms and conditions of this End-User Agreement, and any amendments thereto and any operating rules or policies that may be published from time to time. The End-User Agreement comprises the agreements pertaining to the subject matter contained herein. BY COMPLETING THE REQUEST FORM OR SIGNING UP AS A VENDOR, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF SERVICE.

 

EXCLUSIVITY OF PARTIES

We reserve the right to reject any order you place with us for any reason. For example, we may reject your order if we know or suspect any fraudulent activity.

By using our website, you accept and agree to our Privacy Policy.

Your personal information will be used, according to our Privacy Policy, to process your order and tell you about our products and services.

 

DESCRIPTION OF SERVICES

Ladipo E-Hub currently provide users with access to a large selection of Store-keepers, Vendors and Dealerships starting in Ladipo Market (and all through Nigeria) for all types of vehicles. This make Ladipo.com a Hub where buyers can seek and find sellers of any auto part they desire at any point in time. The Hub is open 24/7, it also worthy to note that any new feature will be to augment or enhance our current Services; including the release of new Software, Features or Web Sites, which will all be subject to this TOS. You understand and agree that the Service is provided "AS-IS" and that Ladipo E-hub assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications, personalized settings or distribute appropriate part requests from vendors except those directly paid for on Ladipo.com.

 

VENDOR'S REGISTRATION OBLIGATIONS

Vendors must maintain an inventory of auto parts that meets ISO standards to register for the Services. This will be verified by the Ladipo.com audit team. In consideration for access to Ladipo.com platform, Vendor agrees to: (a) Provide true, accurate, current and complete information about itself as prompted by the registration form; and (b) to maintain and update this information to keep it true, accurate, current and complete. If any information provided by Vendor is found at anytime to be untrue, inaccurate, not current or incomplete, Company and Partner have the right to terminate Vendor's account and refuse any and all current or future use of the Services.

  1. VENDOR ACCOUNT, PASSWORD AND SECURITY

A Vendor will receive a password and account designation upon completing the Service's registration process. User is responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under user's password or account. User agree to (a) immediately notify Company and Partner of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account and the end of each session. Company and Partner cannot and will not be liable for any loss or damage arising from User's failure to comply with this Section 5.

  1. USER CONDUCT

User agrees to abide by all applicable local, state, national and international laws and regulations in User's use of the hub, and agrees not to interfere with the use and enjoyment of the hub by other Users. User agrees to be solely responsible for the contents of the User's private and public communications posted, emailed, or otherwise transmitted through the Services.

User agrees (a) not to use the Hub for illegal purposes; (b) not to interfere with or disrupt the Services or servers or networks connected to the Hub; (c) to comply with all requirements, procedures, policies, and regulations of networks connected to the Hub; and (d) not to resell the Services or use of or access to the Services.

User agrees not to post, email or otherwise transmit through the Services; (a) any unlawful, harassing, libelous, privacy invading, abusive, threatening, harmful, vulgar, obscene, indecent or otherwise objectionable material of any kind; (b) any material that violates the rights of another, including by not limited to the intellectual property rights of another; (c) any material that violates any applicable local, state, national or international law or regulation; or (d) unsolicited or unauthorized advertisements, promotional materials, "junk mail", "SPAM", "chain letters," or other forms of solicitation. User agrees not to attempt to gain unauthorized access to other computer systems or networks connected to the Services. User agrees and acknowledges that Ladipo E-hub may ban User from future user of the Hub, even if User attempts to use the Services through another partner or under a different name. Furthermore, User agrees and acknowledges that Ladipo E-hub may recover damages from User if User abuses these terms.

VII. INDEMNITY

User agrees to indemnify and hold Ladipo E-hub, their Vendors and their third party service providers, subsidiaries, affiliates, officers and employees, harmless from any claims, including legal fees, made by any third party due to or arising out of User's misuse or breach of the Hub, user's connection to the Services, User's violation of the Terms of Sale, or User's violation of any rights of another.

VIII. NO RESALE OF SERVICE

User agrees not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Hub.

  1. DELETION OF COMMUNICATION ARCHIVES

Ladipo.com, and their third party service providers assume no responsibility for the deletion or failure to store email messages, communications or other content maintained or transmitted through the Hub. Company may establish an upper limit on the size of message storage it will maintain per User.

  1. DISCLAIMER OF WARRANTIES
  1. USER EXPRESSLY AGREES THAT USE OF THE HUB IS AT VENDOR AND/OR USER'S SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
  2. HUB, AND THEIR THIRD PARTY SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
  3. HUB, AND THEIR THIRD PARTY SERVICE PROVIDERS MAKE NO WARRANTY THAT THE SERVICES WILL MEET USER'S REQUIREMENTS, THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DO WE MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USER OF THE SERVICES OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.
  4. USER UNDERSTANDS AND AGREES THAT ANY INFORMATION, CONTENT, DATA OR OTHER MATERIAL DOWNLOADED OR OTHER OBTAINED THROUGH THE USE OF OR FROM THE SERVICES IS DONE AT USER'S OWN DISCRETION AND RISK AND THAT USER WILL BE SOLELY RESPONSIBLE FOR ANY DAMANAGE TO USER'S COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL OR DATA.
  5. HUB, AND THEIR THIRD PARTY SERVICE PROVIDERS MAKE NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH OR FROM THE SERVICES OR ANY TRANSACTIONS ENTERED INTO THROUGH SERVICES AFTER STATED PERIODS. REQUEST FOR HUB RETURN POLICY.
  6. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY USER FROM COMPANY, PARTNER OR THEIR THIRD PARTY SERVICE PROVIDERS OR THROUGH OR FROM THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
  1. LIMITATION OF LIABILITY

User further agrees that hub and their third party service providers shall not be liable for any damages arising from force majeure, interruption, suspension or termination of services, including but not limited to direct, indirect, incidental, special consequential or exemplary damages whether such interruption, suspension or termination was justified or not, negligent or intentional, inadvertant or advertant.

XII. NOTICE BOARD

Notices to User may be made via either email or regular mail. The Service may also provide notices of changes to the TOS or other matters by displaying notices or links to notices to User generally on the Service.

XIII. INTELLECTUAL PROPERTY INFORMATION

While we cannot guarantee that the colours shown on the website exactly reproduce the colours of our products. This may depend on the colour reproduction on your computer or mobile device.

Governing law

This contract is governed by the laws of Federal Republic of Nigeria and such other laws which are applicable in the state where the consumer is resident.

Delivery charges

Pending when our shipping policy is released, delivery charges is on case by case basis but with prior information and mutually agreeable between buyer and hub and/or vendor.

Orders and Specifications

All orders are subject to availability and on a first-come first-served basis. We shall refund any payment made by you in the event that we cannot provide the item(s) you have ordered. We reserve the right to refuse to accept an order. In the unlikely event that we are out of stock when you place your order, you will be emailed within 24hours of your order to inform you of a cancellation.

You shall be responsible for providing accurate details concerning your order e.g. addresses, email addresses, mobile number etc. In the event that you provided us with inaccurate details, you will be liable for any cause. Our order process allows you to check and amend any error before submitting any order with us. We shall not be liable for all costs and expenses incurred by you due to inaccurate information submitted by you

Pricing/Pricing errors

Prices online are exclusive of delivery charges. Prices are subject to change without notice.

Ladipo.com reserves the right to amend any pricing errors displayed due to human error, computer malfunction or other reason. We will notify you of any error in pricing and you may elect to not purchase any Good/s where the price has been corrected.
